Alliance for Sustainable Energy, LLC (“Alliance”), is the managing and operating contractor of the National Renewable Energy Laboratory (“NREL”) under Prime Contract No. DE-AC36-08GO28308 for the U.S. Department of Energy (“DOE”). By submitting any media to Alliance, you agree to be legally bound by the terms below.
For purposes of these terms herein ("Terms"), "you" and "your" mean you, individually as a natural person, and, if applicable, the organization on whose behalf you are submitting to Alliance, jointly and severally.
Alliance does not claim ownership rights in any footage, data, audio, video, photos, graphics, images or other materials or content that you make available to Alliance ("Media"). Media is owned by you unless otherwise provided herein or agreed by you in writing. Notwithstanding the foregoing, you hereby grant Alliance and the DOE a non-exclusive, worldwide, perpetual, irrevocable, fully paid up, royalty-free and transferable right and license, with the right to sublicense through multiple levels, to reproduce, adapt, copy, modify, create derivative works of, distribute, publicly perform, publicly display, digitally transmit, use for any commercial purpose, and otherwise use your Media in any medium or format, whether now known or hereafter discovered. Further, you understand and agree that your Media will be accessible, downloadable and usable by any members of the public to whom Alliance may make the Media available. You represent and warrant to Alliance that all Media is your own original work, and that you have all right, title and interest necessary in and to the Media to agree to the terms herein. You represent and warrant that you have not and will not upload Media depicting (a) natural persons, without such persons' express written permission, and any person under the age of majority or (b) third-party brands, logos or other proprietary information or intellectual property without the owner's permission. You represent and warrant to Alliance that the Media will not include, endorse, or advocate any content that would be a violation of applicable laws, or would be considered harmful, misleading, deceptive, fraudulent, unfair, immoral, indecent, pornographic, obscene, sexually explicit material, excessively profane, racist, ethnically offensive, threatening, excessively violent, defamatory, hate speech, gambling, discriminatory content, or malware.
The Media that you provide to Alliance and that Alliance provides to the public or other parties may be protected by U.S. and international copyright and other intellectual property laws and by other applicable laws, including privacy laws. You understand that Alliance is unable to provide you with permission to submit Media for which you do not own the copyright or other intellectual property rights. You may not submit Media without the written consent of the owner, and you are solely responsible for any copyright or other intellectual property law violations that you may incur as a result of your submission of the Media to Alliance and Alliance's making the Media available to the public or other parties.
You agree to defend, indemnify and hold harmless the DOE, Alliance, its affiliates, licensors and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your Media.
No joint venture, partnership, employment, or agency relationship exists between you and Alliance or the DOE as a result of these Terms or use of the Site.
